  Letter to the Parliamentary Commissioner for Standards from Mr Geoffrey Robinson MP

Thank you for your patience in allowing me to sort out the problem regarding Hollis Industries.

The attached letter from Mr Michael Stoney6[15] sets out the reasons why the remuneration from Hollis Industries to me was erroneously reserved in their accounts to 30 June 1990. As you also see Mr Stoney has at my request and at considerable personal inconvenience checked both the nominal ledger and the cash books of the company for that year to make sure no payment was made.

As far as Transfer Technology Ltd is concerned the entry was deleted in February 1989 following my discussion with the Registrar, Mr A J Hastings, on 13 February 1989. (See my manuscript notes on his letter which I have attached).7[16] The reason for this was that although remuneration, after deduction of tax and NI, was credited to me for the period from 1987 to 1990 it was not paid but was loaned back to the company. At that time Transfer Technology Ltd was a small private company owned virtually entirely by myself and needed the money. The entry was reinstated from January 1991—see copy letter dated 1 February 1991 from Mr Hastings. On 21 May 1991 Transfer Technology Ltd was sold to Central & Sheerwood plc and at the same time Central & Sheerwood changed its name to Transfer Technology Group plc and I was appointed Chairman and Director. The name was again changed to TransTec plc on 4 October 1993. I received in January 1991 a single payment from Central & Sheerwood which was declared at the time.

The schedule from Mr Michael Staszewski8[17] confirms that, with the exception of Agie for a limited period for which I apologised in my letter to you of 3 March, no remuneration was paid in respect of any of the other directorships to which you refer. You will see from the schedule that I was at no time a director of Robert Fraser; another point raised by Peter Lilley in his letter to you of 6 February.

I hope this covers all the outstanding points. Once again with apologies for the delay. You will appreciate there has been quite a lot of work involved.

  Letter to Mr Geoffrey Robinson MP from the Registrar of Members' Interests

I enclose your revised entry. I am afraid the changes have missed the published edition of the Register which will appear later this week. The changes will of course be made to the current edition which is kept up to date in my office and in the Library. Could you clarify further points: when did you take up the directorship in Transfer Technology Ltd.? The approximate date will need to appear in your entry. Secondly, I assume the entry relating to the family company replaces a similar entry relating to Wm. Barrett Ltd. and is not additional to it?
